Terms of Service
Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of Venet, a website maintenance tracking platform operated by Jake Ribeiro (ABN 62 203 977 499) (“Venet”, “we”, “our”, or “us”).
By creating an account or using any part of the service, you agree to be bound by these Terms. If you are using Venet on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.
If you do not agree to these Terms, do not use Venet.
The service
Venet is a SaaS platform that helps freelancers and agencies track website maintenance cycles, monitor uptime, run SSL and performance audits, manage client sites, and generate maintenance reports. The features available to you depend on your subscription plan.
We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice of material changes where possible. Continued use of the service after changes take effect constitutes acceptance of the modified service.
Venet is provided “as is” and is intended for use by professionals managing websites on behalf of their clients. It is not a real-time security monitoring tool, a backup solution, or a guarantee of website performance. Uptime and monitoring data are best-effort indicators, not SLA-backed commitments.
Accounts & registration
Creating an account
You may register using Google OAuth, GitHub OAuth, or an email magic link. You must provide accurate information and keep it up to date. You are responsible for all activity that occurs under your account.
You must be at least 16 years old to use Venet. By creating an account you represent that you meet this requirement.
Account security
You are responsible for maintaining the security of your sign-in method (Google account, GitHub account, or email address). You must notify us immediately at info@venet.dev if you believe your account has been compromised. We are not liable for losses arising from unauthorised access to your account.
One account per person
Each account is for a single individual or business entity. You may not share login credentials with others. Team or multi-seat access is not currently supported.
Subscriptions & billing
Plans
Venet offers a Free plan and several paid plans (Pro, Scale, Enterprise) with different site limits, feature sets, and storage quotas. Current plan details and pricing are published on the Pricing page. Prices may change with reasonable notice.
Free trial
Eligible new accounts may access a free trial of the Pro plan. Each account is entitled to one trial period, ever — trials cannot be restarted or transferred. We track trial usage in your account record. At the end of the trial, your account automatically downgrades to the Free plan unless you subscribe to a paid plan.
Payment & billing
Paid subscriptions are billed in advance on a monthly basis through Stripe. By subscribing you authorise us to charge your nominated payment method via Stripe for recurring fees. All prices are in USD unless otherwise stated. We do not store your payment card details — these are held by Stripe under their own terms and security standards.
Metered billing (Scale & Enterprise)
Scale and Enterprise plans include a base number of active sites. If your active site count exceeds your plan’s included amount, additional sites are charged at a per-site monthly rate. Usage is reported to Stripe daily and billed at the end of each billing period. You are responsible for monitoring your site count and the associated charges.
Failed payments
If a payment fails, we will retry according to Stripe’s retry schedule. We will notify you by email. Continued payment failure may result in your account being restricted or downgraded to the Free plan.
Cancellation
You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period — you retain access to paid features until that date. We do not provide refunds for partial billing periods.
Downgrades & data retention after cancellation
When your subscription ends, your account downgrades to the Free plan. If your account exceeds Free plan limits at that point (for example, you have more active sites than the Free tier allows), you will have a 180-day grace period to either reduce your usage to fit within Free limits or reactivate a paid subscription. If you do neither within that period, data exceeding Free plan limits may be permanently deleted. We will notify you of this during the grace period.
Refunds
We do not offer refunds except where required by applicable law. If you believe a charge was made in error, contact us at info@venet.dev within 14 days of the charge.
Acceptable use
You agree not to use Venet to:
- Violate any applicable law or regulation
- Add sites you do not own or do not have authorisation to monitor and manage
- Use uptime monitoring, SSL checks, or PageSpeed audits to conduct denial-of-service attacks, scraping, or any automated abuse against third-party sites
- Attempt to access accounts, data, or systems belonging to other users
- Reverse engineer, decompile, or attempt to extract the source code of Venet
- Resell or sublicense access to the service without our written permission
- Use the service in a way that places unreasonable load on our infrastructure
- Upload malicious code, viruses, or content designed to harm users or systems
- Circumvent plan limits through technical means (e.g. creating multiple accounts to exceed Free tier limits)
We reserve the right to suspend or terminate accounts that violate these rules without prior notice.
Your content & data
Ownership
You retain ownership of all content you upload or create in Venet — including site data, task notes, screenshots, report summaries, and client information. We do not claim any ownership over your content.
Licence to us
By using Venet, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display your content solely for the purpose of providing the service to you. We do not use your content for any other purpose, including advertising or model training.
Public reports
When you generate a report and share the public link, that report becomes accessible to anyone who has the link. You are responsible for what you include in public reports and who you share links with. Public report links do not expire by default. Treat them as you would a shared document link.
Client data
You may store your clients’ names, email addresses, and website information in Venet. You are the data controller for this information and are responsible for having a lawful basis to store it and for your own compliance with applicable privacy laws in relation to your clients. Our Privacy Policy describes how we handle data on your behalf as a data processor.
Storage limits
Each plan includes a storage quota for file attachments (screenshots and PDF reports). If you exceed your quota, you may not be able to upload new files until you free up space or upgrade your plan. We will notify you when you approach your limit.
Backups
Venet is not a backup service. While we take reasonable steps to protect your data, you are responsible for maintaining your own copies of any critical information. We are not liable for data loss.
Third-party integrations
Venet integrates with third-party services including Google (Analytics and Search Console), GitHub, Stripe, Resend, and Cloudflare. Use of these integrations is also subject to the respective third party’s terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.
When you connect a Google account, you authorise Venet to access your Google Analytics and Search Console data using OAuth. You can revoke this access at any time from your Venet settings or directly from your Google account security settings.
PageSpeed audits send your sites’ URLs to Google’s public PageSpeed Insights API. By using this feature you acknowledge that site URLs will be transmitted to Google.
Intellectual property
Venet and all of its components — including software, design, trademarks, and content created by us — are owned by Jake Ribeiro and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property other than the limited right to use the service as described.
“Venet” and associated logos are trademarks of Jake Ribeiro. You may not use our trademarks without our prior written consent.
Disclaimers & limitation of liability
No warranties
Venet is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.
Uptime monitoring, SSL checks, and PageSpeed audits are provided as informational tools. They are not guarantees of website health, security, or performance. Monitoring results may be delayed, incomplete, or inaccurate due to network conditions, third-party API availability, or other factors beyond our control.
Limitation of liability
To the maximum extent permitted by applicable law, Venet and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising out of or related to these Terms or the service shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim, or AUD $100, whichever is greater.
Australian consumer law
Nothing in these Terms excludes, restricts, or modifies rights you may have under the Australian Consumer Law or other applicable legislation that cannot be excluded. Our liability for a breach of a non-excludable guarantee is limited, to the extent permitted by law, to re-supplying the service or paying the cost of having the service re-supplied.
Termination
By you
You may close your account at any time from Settings → Account. Account deletion is immediate and permanent — all your data is deleted and cannot be recovered. Active subscriptions should be cancelled before deleting your account to avoid further charges.
By us
We may suspend or terminate your account if you breach these Terms, fail to pay fees, or engage in conduct that we determine in our reasonable discretion to be harmful to the service, other users, or third parties. Where practical, we will give you notice and an opportunity to remedy the breach before termination.
We may also terminate your account if the service is discontinued. In such cases, we will provide reasonable advance notice and the opportunity to export your data.
Effect of termination
On termination, your right to use the service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.
Governing law & disputes
These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia for any dispute arising out of or related to these Terms or the service.
Before commencing formal proceedings, you agree to contact us at info@venet.dev and allow 30 days to attempt to resolve the dispute informally.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you by email. Continued use of the service after updated Terms take effect constitutes your acceptance of those changes.
If you do not agree to the updated Terms, you must stop using the service and may close your account.
